C Corporation vs. S Corporation: Key Differences

All Illinois corporations begin as C corporations by default. A C corporation is taxed at the entity level, and shareholders are also taxed on dividends they receive, which creates what is commonly called double taxation. There’s no limit on the number or type of shareholders, which makes C corporations well-suited for businesses seeking significant outside investment or planning to go public.

An S corporation avoids double taxation by passing profits and losses through to shareholders, who report them on their individual tax returns. The tradeoff is that S corporations are limited to 100 shareholders, and eligibility rules restrict who qualifies. According to the IRS, allowable shareholders include individuals, certain trusts, and estates, but not partnerships, corporations, or nonresident aliens. Electing S corporation status requires filing IRS Form 2553 after incorporation. The choice between C and S status affects tax planning, investment strategy, and ownership structure and should be evaluated with both legal and tax counsel before filing.

The Illinois Incorporation Process

Business name selection: The corporation’s name must be distinguishable from all entities already registered with the Illinois Secretary of State.

Articles of incorporation: Filed with the Illinois Secretary of State, these establish the corporation’s primary purpose, authorized shares, and initial registered agent information.
Organizational meeting: The board of directors is elected, corporate bylaws are adopted, and stock is issued to shareholders at this first formal meeting.
EIN and state registration: After formation, the corporation obtains an Employer Identification Number from the IRS and registers with the Illinois Department of Revenue if conducting retail sales.

Corporate bylaws establish the operational framework of the corporation: how officers are appointed, how meetings are conducted, how major decisions are approved, and what quorum requirements apply. They’re typically adopted at the organizational meeting and govern day-to-day corporate operations going forward.

A shareholder agreement is a separate document that governs how ownership is transferred, sets out buy-sell provisions, defines voting rights, and establishes what happens when a shareholder wants to exit or a dispute arises. For corporations with multiple shareholders, closely held structures, or outside investors, the shareholder agreement is a primary risk management document.

Formation is the lowest-friction point at which to address these documents. Waiting until a dispute has already surfaced means operating without the protections a well-drafted agreement would have established from the start.

Keeping an Illinois Corporation in Good Standing

Illinois corporations must file an annual report with the Secretary of State to maintain good standing. Failing to do so can affect banking relationships, licensing renewals, and future commercial transactions. The corporation must also continuously maintain a registered agent with a physical Illinois address; losing that designation can result in administrative dissolution.

Post-formation compliance goes beyond annual filings. Corporations must keep corporate records current, hold required meetings, and maintain minutes. These obligations reflect the more formal governance structure of a corporation compared to an LLC.
